1. Acceptance of Terms
These Terms and Conditions (“Terms”) govern all sales of products and services by IOIOBox to the customer (“Customer”). By placing an order, Customer agrees to be bound by these Terms. Any terms proposed by Customer that differ from or add to these Terms are rejected unless expressly accepted in writing by IOIOBox.
2. Products and Orders
IOIOBox designs, manufactures, and sells standard and custom-built enclosures and accessories. All orders are subject to acceptance based on product availability and production capacity. IOIOBox reserves the right to allocate inventory at its discretion.
3. Payment Terms

Standard Orders: Payment is required in full at the time of purchase unless otherwise agreed in writing.

Custom Orders: All custom-built products require full prepayment and are non-refundable unless defective or materially non-conforming to written specifications.

Large Orders: Orders exceeding $10,000 may require a 50% deposit with the balance due prior to shipment.

Net Terms: Offered only to approved accounts and subject to IOIOBox’s discretion.

Late Fees: Past due balances are subject to a 1% monthly finance charge.
4. Cancellations and Returns

Cancellations must be submitted in writing and are subject to approval.

Standard products may be returned within 30 days of delivery with prior authorization. Returns are subject to a restocking fee of up to 25%.

Custom products are non-returnable except in cases of warranty-covered defects.

All returns must be in original, unused condition. Return shipping costs are the responsibility of the Customer.

5. Shipping and Risk of Loss

IOIOBox generally arranges shipping and charges the Customer at cost, including handling and any surcharges.

Risk of loss passes to the Customer upon:

Delivery when IOIOBox coordinates shipping.

Carrier pickup when the Customer arranges shipping.

For international shipments, the importer (Customer) is responsible for all customs clearance, taxes, tariffs, VAT, and duties.
6. Warranty
IOIOBox products are covered under our published warranty policy, available at https://ioiobox.co/pages/warranty. Warranty terms may vary by product type. IOIOBox reserves the right to update its warranty policy and will honor the policy in effect at the time of sale.
7. Intellectual Property
IOIOBox retains all rights, title, and interest in and to its product designs, technical documentation, branding, trademarks, website content, and other proprietary materials.
Customer agrees not to copy, modify, disassemble, reverse engineer, or create derivative works from any IOIOBox products.
8. Limitation of Liability
To the fullest extent permitted by law:

IOIOBox’s liability for any claim, including breach of contract or warranty, is limited to the purchase price of the affected product.

IOIOBox shall not be liable for indirect, incidental, special, or consequential damages, including loss of profits, business interruption, or data loss, even if advised of the possibility.
9. Use of Customer Data
IOIOBox collects and uses Customer data only for legitimate business purposes, including order fulfillment, shipping, marketing, market analysis, and customer service. Data may be shared with third parties only as necessary to fulfill these purposes. IOIOBox does not sell Customer data.
10. Dispute Resolution and Governing Law
These Terms shall be governed by the laws of the State of Oregon, without regard to its conflict of law rules.
All disputes shall be resolved in the courts of Multnomah County, Oregon.
IOIOBox may require that disputes first be resolved through good-faith negotiation or mediation before litigation.
11. Force Majeure
IOIOBox shall not be liable for any delay or failure to perform due to causes beyond its reasonable control, including acts of God, natural disasters, labor strikes, transportation delays, pandemics, or governmental actions.
12. Miscellaneous

Severability: If any provision of these Terms is held to be invalid, the remainder shall remain in effect.

Entire Agreement: These Terms, together with any written agreement, invoice, or order acknowledgment, constitute the full agreement.

No Waiver: A failure to enforce any provision shall not be a waiver of future enforcement.

Amendments: No amendment shall be valid unless in writing and signed by IOIOBox.

Assignment: Customer may not assign rights or obligations without IOIOBox’s prior written consent.

Survival: Sections regarding intellectual property, limitation of liability, and governing law shall survive termination or expiration of any agreement.
